Terms of Service

1. Acceptance of Terms
By accessing the website, scheduling an architectural consultation, or engaging Proventus Business Solutions Private Limited ("Proventus", "Company") for technology engineering and advisory services, you agree to be bound by these Terms of Service and any applicable Master Services Agreement (MSA) or Statement of Work (SOW).
2. Scope of Services
Proventus provides specialized consulting in multi-cloud architecture, enterprise AI automation, custom SaaS product engineering, and digital transformation. Specific deliverables, project milestones, SLAs, and fees are defined in client-specific SOWs executed under mutual non-disclosure agreements.
3. Intellectual Property Rights
Unless otherwise specified in a formal SOW:
- Client IP: All custom software, application codebases, proprietary algorithms, and architectural deliverables developed specifically for a client belong entirely to the client upon receipt of payment.
- Company Tools: Proventus retains ownership of preexisting methodologies, general engineering utilities, and domain frameworks utilized during advisory engagements.
4. Mutual Confidentiality (NDA)
Both parties agree to treat all business plans, system architectures, credentials, financial records, and proprietary technical data as strictly confidential. Confidentiality obligations survive the termination of any active service agreement for a minimum of five (5) years.
5. Limitation of Liability
In no event shall Proventus Business Solutions Private Limited or its directors, partners, or employees be liable for any indirect, incidental, punitive, or consequential damages resulting from downtime, vendor platform outages, or unauthorized third-party access, except where prohibited by governing law.
6. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Karnataka, India for Indian operations, and the laws of Ontario, Canada for North American client engagements, without regard to conflict of law provisions.
